TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern your access to and use of the Your Parents’ Wedding Video website, equipment rentals, editing services, and other products or services offered by Golden Hour Visuals, LLC d/b/a Your Parents’ Wedding Video (“YPWV,” “Company,” “we,” “us,” or “our”).

By accessing our website, placing an order, checking a box indicating your acceptance, electronically signing an agreement, or otherwise purchasing or using our products or services, you (“Customer,” “you,” or “your”) agree to these Terms and any policies or order-specific terms incorporated into them.

If you do not agree to these Terms, you should not place an order or use our services.

1. ELIGIBILITY AND ACCEPTANCE

You must be at least 18 years old and legally capable of entering into a binding agreement to place an order with YPWV.

By placing an order electronically, you acknowledge that your electronic acceptance has the same effect as a physical signature to the extent permitted by applicable law.

The version of these Terms in effect at the time your order is placed will govern that order. Future changes to these Terms will not retroactively change the terms applicable to an existing order unless both parties agree in writing.

2. OUR SERVICES

YPWV provides rentals of camcorders, cameras, recording media, batteries, chargers, cases, accessories, and related equipment (“Equipment”).

Depending on the package purchased, YPWV may also provide services including footage transfer, digitization, organization, editing, color treatment, audio editing, music selection, delivery of digital files, and other post-production services (“Editing Services”).

The Equipment included, rental dates, Editing Services, pricing, and other order-specific details will be identified on the applicable product page, checkout page, invoice, or order confirmation.

In the event of a direct conflict between these Terms and an order-specific written agreement, the order-specific agreement will control with respect to that order.

3. ORDERS AND PAYMENT

3.1 Order Acceptance

Submission of an order does not require YPWV to accept the order.

We reserve the right to decline or cancel an order due to Equipment availability, suspected fraud, pricing or website errors, shipping limitations, inability to fulfill the requested rental period, or other reasonable business considerations.

If we cancel an accepted order before providing the rental or services, we will refund amounts paid for the portion of the order we are unable to fulfill.

3.2 Pricing

Prices displayed on our website are subject to change before an order is placed.

Once an order has been accepted and paid, we will not increase the price for that order unless you request additional products or services.

Applicable taxes, shipping charges, deposits, and other fees will be disclosed during checkout or otherwise communicated before they are charged.

3.3 Payment Authorization

By providing a payment method, you authorize YPWV and its payment processor to charge that payment method for:

  • the initial rental or service price;

  • applicable taxes and shipping charges;

  • agreed additional services;

  • late-return fees;

  • missing Equipment or accessories;

  • reasonable repair costs for damage for which you are responsible;

  • replacement costs for lost, stolen, destroyed, or unreturned Equipment; and

  • other amounts that you expressly owe under these Terms or your order.

We will not charge your payment method for damage, missing Equipment, or replacement costs without a reasonable basis for the charge.

4. RENTAL PERIOD

Your rental period begins on the expected Equipment arrival date stated in your order confirmation (“Arrival Date”) and ends on the return date stated in your order confirmation (“Return Date”).

Unless otherwise stated in the order confirmation, the Return Date will generally be approximately seven days after the Arrival Date.

The Equipment must be delivered to the designated shipping carrier by the Return Date. The Equipment does not need to physically arrive back at YPWV by the Return Date.

If the Return Date falls on a Sunday or a day on which the applicable carrier location is closed, Equipment may be tendered to the carrier on the next available business day without being considered late.

5. SHIPPING AND DELIVERY

5.1 Outbound Shipping

YPWV will make reasonable efforts to ship Equipment sufficiently in advance of the Arrival Date.

However, delivery dates may be affected by shipping carriers, weather, natural disasters, transportation disruptions, incorrect customer information, or other circumstances outside our reasonable control.

Unless we expressly guarantee expedited delivery in writing, carrier delivery dates and transit times are estimates.

5.2 Customer Information

You are responsible for providing an accurate and complete delivery address and for ensuring that someone can receive or retrieve the package when required.

YPWV is not responsible for delays, loss, or additional expenses resulting from an incorrect or incomplete shipping address supplied by the Customer.

5.3 Return Shipping

Equipment must be returned using the prepaid return shipping label and packaging instructions provided by YPWV unless we approve another method in writing.

You should obtain and retain a carrier receipt or acceptance scan showing that the package was tendered to the carrier.

If you properly package the Equipment and tender it to the designated carrier using the return label provided by YPWV, you will generally not be responsible for loss or damage occurring solely while the package is in the carrier's possession.

If you use an unauthorized shipping method, fail to package the Equipment reasonably, or cannot provide evidence that the package was tendered to the carrier, you may remain responsible for the Equipment until it is received by YPWV.

6. INSPECTION OF EQUIPMENT

Our Equipment may be vintage, previously used, refurbished, or cosmetically imperfect. Scratches, wear, discoloration, or other cosmetic characteristics do not necessarily indicate that Equipment is defective.

We will make reasonable efforts to inspect and test Equipment before shipment.

You agree to inspect the Equipment promptly after receiving it.

Any significant pre-existing damage, missing accessories, or apparent malfunction should be reported to YPWV within 48 hours of delivery whenever reasonably possible.

Failure to report an obvious problem within this period may be considered evidence that the Equipment was received in satisfactory condition, although it does not eliminate rights that cannot legally be waived.

7. VINTAGE EQUIPMENT AND RECORDING RISKS

This section is especially important.

You acknowledge that some Equipment rented by YPWV consists of vintage, older, used, refurbished, consumer-grade, or analog/digital recording equipment.

Equipment of this type can be less predictable than modern professional recording systems.

YPWV does not guarantee:

  • continuous or uninterrupted recording;

  • that every recording attempt will be successful;

  • that batteries will last for any particular amount of time;

  • that tapes, memory cards, storage media, or recorded files will never fail or become corrupted;

  • perfect image or sound quality;

  • that footage will be free from glitches, noise, distortion, dropouts, exposure issues, focus issues, timestamps, artifacts, or other characteristics associated with the Equipment;

  • that every moment of an event will be recorded; or

  • that every piece of recorded footage will be usable in an edited film.

Part of the purpose and aesthetic of the service is the unpredictable, nostalgic appearance associated with these cameras.

You are responsible for following the instructions provided with the Equipment, checking battery and recording status during use, and using reasonable care while recording.

If you believe Equipment is malfunctioning, you should contact YPWV as soon as reasonably possible so that we have an opportunity to troubleshoot the issue.

8. EQUIPMENT FAILURE

If Equipment arrives materially defective or unusable through no fault of the Customer, YPWV will make reasonable efforts, depending on timing and availability, to troubleshoot the Equipment or provide a replacement.

Because weddings and other events occur at specific times, we cannot guarantee that replacement Equipment can arrive before your event.

To the fullest extent permitted by law, YPWV is not responsible for the loss of irreplaceable recording opportunities or event moments resulting from Equipment failure, recording error, operator error, storage-media failure, shipping delay outside our reasonable control, or similar circumstances.

If Equipment supplied by YPWV is materially defective and we are unable to provide a reasonable replacement or solution, our remedy may include an appropriate refund or credit for the affected Equipment rental.

9. CUSTOMER CARE AND USE OF EQUIPMENT

You agree to:

  • use the Equipment carefully and for its intended purpose;

  • follow reasonable operating and care instructions;

  • keep Equipment protected from water, excessive heat, impact, sand, theft, and other foreseeable hazards;

  • return all Equipment and accessories included with your order;

  • not intentionally damage, dismantle, repair, modify, or permanently alter the Equipment; and

  • not remove, alter, obscure, or destroy Equipment serial numbers or identifying labels.

You may allow members of your wedding party, family, guests, or other individuals associated with your event to operate the Equipment.

However, you remain responsible for the Equipment while it is in your possession, including damage or loss caused by people to whom you provide access.

You may not commercially sublease or rent the Equipment to another person.

10. DAMAGE, LOSS, AND THEFT

You are not responsible for ordinary cosmetic wear resulting from proper use.

You are responsible for damage caused by misuse, negligence, intentional acts, unauthorized modifications, improper storage, failure to follow reasonable instructions, or other conduct inconsistent with ordinary careful use.

You are also responsible for Equipment that is lost, stolen, destroyed, or not returned while under your control, except where the loss is caused solely by an authorized shipping carrier after the Equipment has been properly tendered for return using the shipping method provided by YPWV.

Where repair is reasonably possible, you may be charged the reasonable cost of repair.

Where Equipment cannot reasonably be repaired, is lost or stolen, or is not returned, you may be charged the reasonable current replacement cost of equivalent Equipment.

Replacement cost will be based on the reasonable cost of obtaining the same item or a substantially comparable replacement, taking into consideration the age, type, availability, and condition of the Equipment.

YPWV will not charge a Customer for pre-existing damage or ordinary wear and tear.

11. SECURITY DEPOSIT

If your order requires a security deposit, the amount will be disclosed before checkout.

The security deposit may be applied toward:

  • unpaid late fees;

  • missing Equipment or accessories;

  • repair costs for covered damage; or

  • replacement costs for lost, stolen, destroyed, or unreturned Equipment.

After returned Equipment has been received and inspected, any remaining security deposit will be released or refunded to the original payment method.

We will normally complete our inspection within seven business days after receiving the returned Equipment.

Banking and payment-processing times after the refund is issued are outside YPWV's control.

If the amount properly owed exceeds the security deposit, you authorize us to charge the remaining amount to the payment method associated with your order.

12. LATE RETURNS

Equipment must be tendered to the designated shipping carrier by the Return Date.

Unless another amount is stated in your order, late Equipment may be subject to a $40 per calendar day late fee.

We strongly encourage you to contact us immediately if circumstances prevent you from returning the Equipment on time.

If Equipment has not been tendered for return within five calendar days after the Return Date, and you have not made alternative arrangements with us, YPWV may treat the Equipment as unreturned and charge the reasonable replacement cost.

13. CANCELLATIONS AND DATE CHANGES

Unless your order states otherwise:

More than 30 days before the Arrival Date: You may cancel for a 50% refund.

30 days or less before the Arrival Date: The order is non-refundable because Equipment has been reserved for your date and may no longer be available to other customers.

Requests to change an event or rental date are subject to Equipment availability. We will make reasonable efforts to accommodate date changes but cannot guarantee availability.

If YPWV must cancel your rental because we are unable to provide the Equipment ordered, you will receive a refund of the amounts paid for the affected rental.

YPWV is not responsible for separate event costs, vendor charges, travel expenses, or other expenses resulting from cancellation of a rental, except where applicable law provides otherwise.

14. FOOTAGE OWNERSHIP AND PRIVACY

14.1 Your Footage

As between you and YPWV, you retain your ownership rights in original photographs, video recordings, audio recordings, and other original content created using the rented Equipment (“Customer Footage”).

You grant YPWV full license to access, copy, transfer, convert, store, process, and edit Customer Footage as well as use the footage for marketing purposes as we see fit.

14.2 Marketing Release

By using our services and submitting audio and video files to us, you grant YPWV a non-exclusive, worldwide, royalty-free license to use the content captured on our cameras in any way we see fit.

This can be used for for marketing purposes by YPWV including but not limited to: social media, paid online advertising, tv, and print.

If you would like us to refrain from using your footage for marketing purposes, please email us to request that your footage be kept private.

14.3 People Appearing in Your Footage

You are responsible for determining whether you need permission from individuals you or your guests choose to record.

YPWV is not responsible for obtaining releases from wedding guests, event attendees, venue personnel, performers, or other individuals appearing in footage recorded by you or your guests.

14.4 Storage and Deletion

Although we take reasonable precautions when handling digital files, no storage system is completely immune from loss, corruption, or technical failure.

You should download and independently back up all final files delivered to you.

Unless otherwise agreed in writing, YPWV may permanently delete raw footage, project files, backup files, and other Customer Footage six months after delivery of your completed project.

After this period, we do not guarantee that footage or project files will remain available.

15. EDITING SERVICES

If your package includes Editing Services, YPWV will create the deliverables identified in your order.

You acknowledge that editing is a creative process.

Unless specific requirements have been agreed to in writing, YPWV retains reasonable creative discretion regarding:

  • clip selection;

  • pacing;

  • sequencing;

  • music;

  • color treatment;

  • sound design;

  • titles;

  • transitions;

  • aspect ratio; and

  • overall editing style.

Not every recorded clip will necessarily appear in the finished video.

Any revisions included with your package will be described in the applicable package, invoice, or order confirmation. Additional revisions or editing requests outside the purchased scope may require an additional fee.

You acknowledge that you have had an opportunity to review examples of YPWV's work and understand the general nostalgic style associated with the service.

16. MUSIC AND THIRD-PARTY MATERIAL

YPWV may use music or other creative material for which we have an appropriate license in connection with Editing Services.

If you request a specific commercially released song, or other copyrighted material that YPWV does not have the legal right to use, it is the Customer’s sole responsibility to ensure all necessary music rights. If any legal claims, complaints or takedown requests are made due to the usage of copyrighted music, the Customer will be fully responsible.

If you provide music, photographs, videos, graphics, or other third-party material for inclusion in a project, you represent that you have the rights or permissions necessary for us to use that material as requested.

17. FINAL VIDEO AND INTELLECTUAL PROPERTY

Customer Footage remains subject to Section 14.

After payment in full, you may download, copy, privately display, and share your final wedding video for ordinary personal and noncommercial purposes, including sharing it with friends and family and posting it to your personal social-media accounts, subject to any third-party music or content restrictions.

YPWV retains ownership of its pre-existing intellectual property, including its website, logos, trademarks, editing systems, templates, graphics, processes, business materials, and other materials created independently of your Customer Footage.

Commercial use of a completed video by a business, advertiser, sponsor, or other commercial entity may require separate permission or licensing unless commercial use was included in the applicable order.

18. WEBSITE INTELLECTUAL PROPERTY

Unless otherwise indicated, the text, branding, logos, graphics, photographs, website design, videos, illustrations, and other materials created by or for YPWV and appearing on our website are owned by or licensed to YPWV.

You may not reproduce, sell, commercially exploit, republish, or distribute our website content without permission, except as permitted by law.

19. CUSTOMER COMMUNICATIONS

You authorize YPWV to contact you using the email address, telephone number, mailing address, or other contact information you provide for communications reasonably related to your order.

These communications may include shipping information, return reminders, troubleshooting, payment issues, editing questions, delivery notifications, or other order-related matters.

Consent to transactional communications does not constitute consent to receive marketing communications where separate consent is required by law.

20. THIRD-PARTY SERVICES AND LINKS

Our website and services may rely on or link to third-party services, including payment processors, shipping carriers, cloud-storage providers, e-commerce platforms, and social-media platforms.

YPWV does not control third-party services and is not responsible for outages, security incidents, policies, content, or actions of unaffiliated third parties except to the extent that applicable law provides otherwise.

Your use of third-party services may also be governed by their own terms and privacy policies.

21. PROHIBITED USES

You may not use our website, Equipment, or services to:

  • violate applicable law;

  • infringe another person's intellectual property or privacy rights;

  • engage in fraud or deceptive conduct;

  • damage or interfere with our website or systems;

  • distribute malware or malicious code;

  • attempt unauthorized access to our systems;

  • scrape or reproduce substantial portions of our website for commercial purposes without permission; or

  • use rented Equipment for unlawful activity.

We reserve the right to terminate access to our services for material violations of these Terms.

22. DISCLAIMER OF WARRANTIES

Except for warranties expressly stated in these Terms and to the fullest extent permitted by applicable law, our website, Equipment, and services are provided on an “as available” basis.

We do not guarantee that our website will always operate without interruption or error.

With respect to Equipment, YPWV promises only that we will make reasonable efforts to provide Equipment that is operational when shipped and to address properly reported problems as described in these Terms.

Nothing in these Terms excludes warranties, remedies, or consumer rights that cannot lawfully be excluded.

23. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, YPWV will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from your use of our Equipment or services, including loss of recording opportunities, loss of enjoyment, lost profits, or loss of data, except where such limitations are prohibited by law.

For claims relating to Equipment failure, shipping, footage loss, Editing Services, or an order generally, YPWV's aggregate monetary liability will not exceed the amount you paid to YPWV for the portion of the applicable order giving rise to the claim, except where applicable law prohibits such a limitation.

Nothing in these Terms is intended to limit liability that cannot legally be limited or excluded, including liability arising from willful misconduct, gross negligence where applicable, or other liability that applicable law makes non-waivable.

24. ASSUMPTION OF RESPONSIBILITY FOR USE

You are responsible for safely possessing and operating the Equipment and for the actions of people to whom you voluntarily provide access to it.

You agree not to use or permit the Equipment to be used in a manner that creates an unreasonable risk of injury or property damage.

Nothing in this section waives rights or remedies that cannot legally be waived.

25. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold YPWV and its owners, employees, contractors, and agents harmless from third-party claims, damages, losses, liabilities, and reasonable costs arising from:

  • your unlawful use of the Equipment;

  • your material breach of these Terms;

  • your intentional or negligent damage to another person's property while using the Equipment;

  • content or materials you provide that infringe another person's rights; or

  • your violation of applicable law.

This obligation does not apply to claims to the extent caused by YPWV's own gross negligence, willful misconduct, or other conduct for which liability cannot lawfully be shifted.

26. FORCE MAJEURE

YPWV will not be considered in breach of these Terms for delays or failures caused by events reasonably beyond our control, including severe weather, natural disasters, fires, carrier disruptions, labor disputes, government actions, power or internet outages, widespread technology failures, public emergencies, or other similar events.

We will make reasonable efforts to communicate with affected customers and minimize disruption when practicable.

27. DISPUTE RESOLUTION

Before filing a formal legal claim, you and YPWV agree to make a reasonable good-faith effort to resolve the dispute directly.

A party seeking to initiate a dispute should provide written notice describing the issue and requested resolution. The parties will have 30 days after receipt of the notice to attempt an informal resolution before initiating formal proceedings, unless immediate action is reasonably necessary or applicable law requires otherwise.

These Terms do not prevent either party from bringing an eligible claim in small claims court.

28. GOVERNING LAW AND VENUE

These Terms and orders placed with YPWV will be governed by the laws of the State of North Carolina, without regard to conflict-of-law principles, except to the extent another jurisdiction's law must apply and cannot legally be waived.

To the extent permitted by applicable law, any court proceeding arising from these Terms or an order with YPWV will be brought in a state or federal court located in North Carolina, and the parties consent to the jurisdiction of those courts.

Nothing in this section is intended to deprive a consumer of protections or venue rights that cannot legally be waived.

29. PRIVACY

Personal information collected through our website and services will be handled in accordance with our Privacy Policy.

If these Terms and our Privacy Policy conflict regarding the collection or handling of personal information, the Privacy Policy will control with respect to those privacy matters.

30. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or, where appropriate, severed from these Terms.

The remaining provisions will continue in effect.

31. NO WAIVER

Our failure to immediately enforce a provision of these Terms does not waive our right to enforce that provision later.

A waiver of one breach does not constitute a waiver of another breach.

32. ASSIGNMENT

You may not transfer your obligations under an Equipment rental to another person without YPWV's written consent.

YPWV may assign its rights and obligations in connection with a merger, acquisition, sale of the business, corporate restructuring, or similar transaction, subject to applicable law.

33. ENTIRE AGREEMENT

These Terms, your order confirmation, and any additional policies or written agreements expressly incorporated into your order constitute the agreement between you and YPWV concerning that order and supersede prior discussions or representations concerning the same subject.

Any material amendment to an existing order must be agreed to by both parties in writing or through another recorded electronic method of acceptance.

34. CHANGES TO THESE TERMS

We may update these Terms from time to time.

Changes will apply prospectively to website use and orders placed after the updated Terms become effective.

Unless required by law or expressly agreed by you, posting revised Terms will not retroactively change the contractual terms governing an order you previously placed.
